1. Introduction

Prexisio ("we," "us," or "our") specializes in BI, AI, data engineering, ETL, data warehousing, dashboard development, and related consulting services. These Terms apply to all clients and users of our services.

By engaging with our services, you confirm that you have the authority to enter into these Terms on behalf of your company or organization.

2. Services & Ownership of Deliverables

• 2.1 Custom Solutions: We provide consulting and development services tailored to each client’s needs, including data engineering, AI automation, and dashboard design.
• 2.2 Client Ownership: All custom-built software, reports, dashboards, and data solutions developed for you belong to you upon full payment.
• 2.3 Our Expertise: While the deliverables belong to the client, Prexisio retains all rights to our proprietary knowledge, methodologies, frameworks, and expertise used in delivering these solutions.
• 2.4 Third-Party Integrations: Some projects may involve third-party tools or services, for which clients must comply with those third parties' terms of use.

3. Confidentiality

Both parties agree to protect confidential information shared during the course of the engagement:

• 3.1 Client Data: We will not disclose, share, or misuse any proprietary or sensitive client data.
• 3.2 Internal Knowledge: Our methodologies, templates, and consulting approaches remain our proprietary information.
• 3.3 NDA (Non-Disclosure Agreement): If required, we can execute an NDA before the commencement of services.

4. Acceptable Use

Clients agree to use Prexisio’s services lawfully and professionally. Prohibited actions include:

• Requesting services that involve fraudulent, illegal, or unethical activities.
• Using Prexisio’s deliverables for illegal or deceptive purposes.
• Reverse engineering or misusing Prexisio’s proprietary methodologies.

5. Payment & Fees

• 5.1 Billing & Invoices: Payment terms and billing cycles are specified in individual client agreements.
• 5.2 Late Payments: Payments must be made on time. Late payments may incur interest charges or result in service suspension.
• 5.3 Refunds: Payments for consulting services are non-refundable unless otherwise agreed in writing.

6. Limitation of Liability

Prexisio is not responsible for any indirect, incidental, or consequential damages arising from the use of our services. Our liability is limited to the amount paid by the client for the services provided.

7. Termination

• 7.1 By You: You may terminate services at any time by providing written notice.
• 7.2 By Us: We reserve the right to terminate services if a client violates these Terms or fails to meet payment obligations.

8. Governing Law & Dispute Resolution

These Terms are governed by the laws of Colorado/U.S. Disputes will be resolved through arbitration.

9. Updates to These Terms

We may update these Terms periodically. Continued use of our services after updates means you accept the revised Terms.
